Terms of Service

These terms govern your use of Slate, the software and connected hardware we provide for managing digital menu boards, promotional displays, and media loops. By creating an account or starting a pilot, you agree to these terms.

1. The service

Slate provides a dashboard for managing content (menus, promos, and media), a player application that runs on screens you control, and, where applicable, pre-configured hardware devices to run that player. You provide the physical screens and an internet connection; we provide the software, hosting, and (optionally) the streaming device that connects them.

2. Your account

You must provide accurate information when creating an account and keep your login credentials secure. You're responsible for all activity under your account. If you believe your account has been compromised, contact us immediately.

3. Your content

Everything you upload or enter, menu items, prices, photos, video, logos, brand colors, remains yours. You retain full ownership. By uploading it, you grant Slate a limited license to store, process, and display that content solely for the purpose of operating the service on your behalf, we don't use your content for anything else, and we don't claim ownership of it.

You're responsible for the accuracy of your content, including prices, and for having the rights to any images or video you upload. Don't upload anything you don't have the legal right to use.

4. The pilot

New accounts may start with a free two-week pilot on one screen, including brand setup. There's no obligation to continue, if you don't convert to a paid plan, your pilot screen and content are simply not billed, and access ends at the end of the pilot period unless you subscribe.

5. Subscriptions and billing

  • Plans are billed per screen, monthly or annually, at the rate shown on our pricing page at the time of purchase.
  • A one-time setup fee applies when you convert from a pilot, covering initial design and configuration work. Setup pricing may be discounted at higher screen counts, as shown on our pricing page.
  • Where hardware is included or purchased as part of setup or as an add-on for additional screens, that fee is one-time and covers the physical device; it is separate from your recurring software subscription.
  • You can add or remove screens at any time; billing adjusts on your next cycle to reflect the change.
  • Subscriptions renew automatically until canceled. You can cancel anytime from your dashboard or by contacting us; cancellation takes effect at the end of your current billing period, and we don't offer refunds for partial periods.
  • If a payment fails, we'll attempt to notify you and retry billing before any service interruption. We do not abruptly cut off a live screen over a billing hiccup, if we ever need to pause a delinquent account, we'll do so gradually and with notice, not by instantly blanking a screen in front of your customers.

6. Hardware

Where Slate provides a pre-configured streaming device as part of your setup or as a paid add-on, that hardware is sold to you, not licensed, once it's yours, it's yours, subject to the manufacturer's own warranty (Slate is not the hardware manufacturer). We configure it to run the Slate player reliably, but we don't control the underlying device manufacturer's hardware or firmware decisions. You're always free to use your own compatible smart TV or streaming device instead, at no charge.

7. Acceptable use

Don't use Slate to display unlawful content, content that infringes someone else's rights, or content you don't have permission to use. Don't attempt to disrupt, reverse-engineer, or gain unauthorized access to the service or other accounts. We may suspend or terminate accounts that violate this, typically with notice and a chance to fix the issue, except in cases of serious or repeated abuse.

8. Availability and reliability

We build Slate specifically to keep displaying your last-known content through network outages, and to recover automatically from most software-level interruptions without requiring you to do anything. That said, we can't guarantee uninterrupted service, no software provider honestly can, and the service is provided "as available." Physical hardware failures, your own internet or power outages, and third-party platform changes outside our control (such as a device manufacturer changing how their hardware works) are not something we can fully guarantee against, though we design around these risks wherever we can.

9. Termination

You can cancel your account at any time. We may suspend or terminate your account for violating these terms, non-payment after reasonable notice, or extended inactivity. Upon termination, your screens will stop receiving updated content; we'll retain your data for a reasonable period per our Privacy Policy in case you want to reactivate, then delete it.

10. Disclaimer of warranties

Slate is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the service will be error-free or uninterrupted.

11. Limitation of liability

To the maximum extent permitted by law, Slate's total liability for any claim arising from these terms or your use of the service is limited to the amount you paid us in the three months prior to the claim. We're not liable for indirect, incidental, or consequential damages, including lost profits or lost business, arising from your use of the service.

12. Indemnification

You agree to indemnify and hold Slate harmless from any claims, damages, or expenses arising from your content, your violation of these terms, or your violation of any law or third-party right.

13. Changes to these terms

We may update these terms from time to time. Material changes will be emailed to active account holders in advance of taking effect. Continued use of the service after changes take effect constitutes acceptance of the updated terms.

14. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.
